Terms of service

Navodyx Solutions Private Limited provides Navodyx IP, a hosted Manufacturing Operations system, to the company named in your order form, for use by its employees and authorised contractors. Access is per named user; login credentials must not be shared.

• You own all data your company enters, uploads or generates in the system, including documents produced by it.
• We use it only to operate the service for you, as described in our privacy policy.
• You can export your complete data at any time, in open formats, without our assistance.
• On termination we return or delete your data on your instruction, within the period stated in your agreement.

• Do not use the service unlawfully, or to store content you have no right to store.
• Do not attempt to access another company's data, probe or overload the platform, or circumvent permission and approval controls.
• Do not resell or provide the service to a third party without our written agreement.
• Keep your own devices and credentials secure; you remain responsible for actions taken under your users' logins.

The system is configurable: forms, workflows, rules, documents and permissions are set up for your unit. We maintain a clear separation between the core platform, your configuration and any extension built for you, so that platform updates do not disturb your setup. We improve the platform continuously and will not remove a feature you rely on without prior notice.

We target 99.5% monthly availability, excluding scheduled maintenance notified in advance and events outside our control. Support is provided on business days by email at support@navodyx.com, with response targets set out in your agreement. Where an on-premise connector such as the Tally agent is used, its correct operation also depends on your own computer, accounting software and network.

Subscription fees, billing period and any implementation charges are stated in your order form, exclusive of GST. Invoices are payable within the agreed credit period. We may suspend access for accounts materially overdue, after written notice.

Reports, forecasts and the assistant's answers are decision-support outputs derived from the data your team enters. They are shown with their sources so they can be verified. They do not constitute financial, tax, legal or engineering advice, and responsibility for business, statutory and safety decisions remains with your company.

Neither party is liable for indirect or consequential loss. Our total liability in any twelve-month period is limited to the fees paid by you for the service in that period. Nothing in these terms limits liability that cannot be limited under Indian law, including for wilful misconduct.

Subscriptions run for the term in your order form and renew as stated there. Either party may terminate for material breach that is not remedied within 30 days of written notice. On termination you retain the right to export your data. These terms are governed by the laws of India, and the courts at Hyderabad have exclusive jurisdiction.
